Terms of Service

1. Agreement

These Terms of Service ("Terms") form a binding agreement between BookCompute, Inc. ("BookCompute", "we") and you or the organisation you represent ("Customer") for use of the BookCompute AI Compute Marketplace, customer and provider portals, APIs and related services (together, the "Service"). By creating an account or using the Service you accept these Terms.

2. The Service

BookCompute is an independent marketplace and intelligence layer for AI compute. We display prices, benchmarks and availability, run RFQs and reservations, and route orders to third-party compute providers ("Providers"). BookCompute is not the operator of the underlying compute and does not guarantee Provider performance beyond what is expressly stated in a signed order or SLA.

3. Accounts

You must provide accurate information, keep credentials secure and are responsible for activity under your account. You must be at least 18 years old and legally able to enter into contracts.

4. Beta status

Parts of the Service are provided as a public Beta. Features may change, be limited or withdrawn. Beta features are provided "as is" without service level commitments.

5. Orders, RFQs & reservations

A reservation or accepted RFQ bid forms a separate contract between Customer and the chosen Provider on the terms shown at the time of order. BookCompute facilitates the transaction and may act as billing agent. Cancellation, refund and SLA terms of the Provider apply in addition to these Terms.

6. Pricing & fees

Public prices are indicative and shown with source and freshness. Final pricing is the price accepted at order or reservation time. Applicable taxes are added at checkout. BookCompute may charge platform, marketplace or advisory fees, disclosed in advance.

7. Acceptable use

You will not (a) misuse or attempt to break the Service, (b) scrape or resell data beyond your account, (c) use the Service to train, deploy or serve workloads that violate applicable law, sanctions or third-party rights, (d) upload malware, (e) impersonate others, or (f) circumvent rate limits or access controls.

8. Providers

Providers listing on BookCompute represent that their disclosed inventory, prices, regions and certifications are accurate and kept current. BookCompute may audit, suspend or delist Providers that violate these Terms or the BookCompute Certified™ standard.

9. Confidentiality

Non-public information shared through RFQs, bids and enterprise negotiations is confidential and used only to operate the Service.

10. Intellectual property

BookCompute retains all rights in the Service, brand, benchmark methodologies and content. You retain your data and grant BookCompute a limited licence to process it to provide the Service.

11. Warranties & disclaimer

Except as expressly stated, the Service is provided "as is" and "as available". BookCompute disclaims all implied warranties to the maximum extent permitted by law.

12. Limitation of liability

To the maximum extent permitted by law, BookCompute's aggregate liability arising out of the Service is limited to the fees paid to BookCompute in the 12 months before the event giving rise to the claim. Neither party is liable for indirect, consequential or punitive damages, or lost profits or data.

13. Indemnity

You will defend and indemnify BookCompute against third-party claims arising from your misuse of the Service or breach of these Terms.

14. Suspension & termination

We may suspend or terminate accounts for material breach, security risk or legal requirement. You may close your account at any time; outstanding orders and Provider contracts remain governed by their terms.

15. Governing law

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law rules. Exclusive jurisdiction lies with the state and federal courts located in Delaware, unless mandatory local consumer law provides otherwise.

16. Changes

We may update these Terms; material changes are announced at least 30 days in advance. Continued use after the effective date constitutes acceptance.
